1. Acceptance of Terms

• Other professional, scientific, and technical services as agreed in writing

The specific scope, deliverables, timeline, and fees for any engagement will be documented in a separate Statement of Work ("SOW") or Service Agreement executed by both parties.

3. Intellectual Property

3.1 Our Intellectual Property

All content, materials, methodologies, tools, software, and intellectual property displayed on our website or used in the delivery of our services, unless otherwise agreed in writing, are the exclusive property of VGD STORE LLC. This includes but is not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and documentation.

You are granted a limited, non-exclusive, non-transferable license to access and use our website for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any of our materials without prior written consent.

3.2 Client Materials

Any materials, data, or intellectual property provided by you to us in connection with our services ("Client Materials") remain your property. You grant us a limited license to use Client Materials solely for the purpose of performing the agreed services.

3.3 Deliverables Ownership

Unless otherwise specified in a written SOW, custom deliverables created specifically for you as part of a paid engagement will be transferred to you upon full payment of all applicable fees. VGD STORE LLC retains the right to use general knowledge, skills, experience, and methodologies acquired during the engagement.

4. Confidentiality

Both parties acknowledge that they may receive confidential or proprietary information from the other party in the course of business. Each party agrees to:

• Maintain the confidentiality of such information
• Use such information solely for the purpose of fulfilling obligations under these Terms or an applicable SOW
• Not disclose such information to any third party without prior written consent
• Protect such information with the same degree of care used to protect their own confidential information, but in no event less than reasonable care

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

5. Payment Terms

Fees for our services will be specified in the applicable SOW or Service Agreement. Unless otherwise stated:

• Invoices are issued according to the payment schedule defined in the SOW
• Payment is due within thirty (30) days of the invoice date
• Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less
• All fees are quoted in United States Dollars (USD) unless otherwise agreed
• You are responsible for all applicable taxes, duties, and government charges

6. Limitation of Liability

To the fullest extent permitted by applicable law, VGD STORE LLC and its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of, or inability to access or use, our website or services
• Any conduct or content of any third party on our website or in connection with our services
• Any content obtained from our website or services
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability to you for all claims arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the event giving rise to liability.

• You remain obligated to pay all fees and expenses incurred up to the effective date of termination
• Any proprietary rights, confidentiality obligations, and limitations of liability shall survive termination
• We may destroy or return Client Materials as directed by you

We reserve the right to terminate or suspend your access to our website immediately, without prior notice or liability, for any reason whatsoever, including breach of these Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiations. If such negotiations fail, the dispute shall be resolved through binding arbitration in New York, New York, in accordance with the rules of the American Arbitration Association.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.
